This contractual agreement states the terms and conditions of the partnership between HotelsPaddie Inventory Solutions Limited. (“HotelsPaddie”, “we”, “us”) and the signing hotel partner (“you”, “hotel”). HotelsPaddie is a hotel platform that intends to bring new customers to hotels. HotelsPaddie customers can book or reserve a hotel room online from all hotels listed on the website who are willing to receive bookings or reservations from HotelsPaddie. Where reference is made to availability, this shall mean the combination of a room type, a policy set, a price and the actual availability.
We will help you with the onboarding process to the platform. We will market your property appropriately through the channels identified by us, which would mainly include online marketing. If previously agreed, we will list your hotel on our front page, where the city in which your hotel is situated is targeted. We will enable customers to book or reserve directly on our website. We provide sufficient communication to the hotel and the customer for the booking to be transacted in a way that is convenient for all parties.
We only display offers on rooms provided to us by the hotel. The hotel provides an offer or availability through its access to our system’s backend (“extranet”). Availability can be changed on a daily basis. Once a booking is received we will send a booking notification via e-mail and update the extranet. Once we have been given a room rate prior to the booking, the hotel must commit to this offer and ensure availability of the room. This includes the quality of the hotel offering. All rooms rented out to our customers must be perfectly cleaned and prepared for new guests. The hotel is responsible to ensure a high service and room quality to make the guests’ stay at the hotel an enjoyable experience. Also the hotel agrees to attach HotelsPaddie sticker in a visible location near the entry. This sticker will be provided by HotelsPaddie.
The communication between HotelsPaddie and the hotel will mainly be conducted via e-mail. Hence hotels are expected to check for new e-mails at least once per hour, including on weekends and holidays. This is necessary, because they need to be informed of new bookings, cancellations, problems, or other information. Also hotels are expected to be reachable during office hours via the main hotel phone number and the responsible manager’s phone number. All other communication channels provided by the hotel should be controlled and answered frequently, as well
Fraud in this Agreement shall include an act wherein the hotel seeks to deprive HotelsPaddie of its earned commission; such act may include the hotel inducing HotelsPaddie Customer to cancel or change his/her booking, with the intent of depriving HotelsPaddie of its earned commission. Such Fraud will be punished with a fine of NGN 500,000.00 and the expulsion from HotelsPaddie platform. HotelsPaddie reserves the right to always investigate fraud.
We will support you in the sign-up and content upload process. For this, the hotel may need to enter all hotel information correctly into the templates. Any information uploaded to our platform is subject to our approval. Content might not be approved by HotelsPaddie, if perceived as ineffective for conversion. We reserve the right, to make any changes to the content without first seeking your approval if we feel the necessity or urgency. However in general, we will always consult you for changes. If the amenities of the hotel changes, for example if there are room renovations, the hotel should contact us, so that we can discuss the updating of the content. All content given to HotelsPaddie by the hotel is binding, which means that it is expected to be a true representation of the reality. If this is not the case, the hotel will receive a warning. All content, which is added to HotelsPaddie is exclusive content owned by HotelsPaddie, which may not be used at other instances without explicit permission. In case of any doubts, the hotel is expected to contact HotelsPaddie.
HotelsPaddie will be responsible for securing payments from Customers. Payment is expected to have been done before the stay, on the website by the customer. Therefore the booking is secured and customers can be held accountable if they do not show up or cancel appropriately.
For every transacted booking, the hotel agrees to pay a commission to HotelsPaddie. The gross commission will be 20 percent of the booking value transmitted by HotelsPaddie. In the event of overbooking, the commission will also be charged plus a fixed fee of NGN 50,000,00. Overbooking occurs, when the hotel is not able to offer the HotelsPaddie customer a room of the standard described in “Availability, bookings & commitment”.
The hotel may choose the price of the offered rates. We recommend not to set prices too high to remain competitive compared to other hotels. All prices must include all taxes and all additional charges for this specific offer. Hence the customer must be able to spend his stay as expected without incurring any additional charges
You acknowledge and agree that HotelsPaddie shall endeavor to give you notice for any amendments to this Contract that materially increase you obligations of decrease you rights under this Contract. You acknowledge and agree that HotelsPaddie at its sole discretion and without liability may make amendments without your further specific Contract at any time with immediate effect by posting a notice of the amendments on the HotelsPaddie website and by sending to you an email or a letter.
If a customer does not arrive at the hotel on the expected date, the hotel is obliged to inform HotelsPaddie within 24h.
When the hotel is irresponsive to communication from HotelsPaddie, or cannot deliver a committed room or is involved in any form of misconduct, a warning will be issued by HotelsPaddie to the hotel. After 2 warnings the hotel will be removed from the platform although HotelsPaddie reserves the right to remove the hotel from the platform without warnings.
HotelsPaddie holds the proprietary rights of all website content. Such contents may therefore not be used or reproduced by anybody, including the hotel, without the written permission of HotelsPaddie. HotelsPaddie also holds the rights on guest ratings and reviews and may choose to make these public. These may not be reused or copied by any other party without our explicit written consent. The hotel partner further agrees not to target HotelsPaddie or any of our connected names for online targeting. HotelsPaddie has the right to sublicense its inventory given by the hotels and disclose all information given by the hotels to chosen partners. This mainly targets third party platforms of similar nature.
The hotel may terminate the relationship with HotelsPaddie at any time by giving notice to HotelsPaddie in writing. All pending bookings or reservations prior to the reception of the cancellation must be handled with best intentions by the hotel. The hotel shall set the availability of its rooms to 0 after the decision to part with HotelsPaddie. HotelsPaddie reserves the right to quit the contract at any time, without reason, which will lead to an immediate end of the contractual relationship.
The hotel confirms its ownership of the accommodation and that it has all necessary rights to run it in accordance to representations made to HotelsPaddie. Also the hotel represents and warrants that it has all necessary operating permits. The signing manager represents and warrants that he/she is empowered to enter into an Agreement of this nature on behalf of the hotel and/or that he/she has taken necessary actions of corporate authorization. HotelsPaddie is neither accountable for any actions of its customers at the hotel nor for their opinions. Hence, HotelsPaddie is not liable for any accidents or financial duty arising from our customers’ or the hotel’s action. The hotel commits not to share any information, neither of this contract nor confidential information about HotelsPaddie to third parties without explicit approval from us. HotelsPaddie and the hotel intend to lead a healthy business relationship.
HotelsPaddie Inventory Solutions Limited shall reserve the right to assign this Agreement, to a related party, together with all benefits and liabilities therein.
The provisions of this Agreement shall be governed and interpreted in accordance with the Laws of the Federal Republic of Nigeria.
Where any dispute arises between either of the parties to this Agreement, the parties shall first seek an amicable settlement of such dispute. Where the parties are unable to reach an amicable settlement, reference shall be made to arbitration. The arbitration shall be held in Lagos, and shall be conducted by a single arbitrator appointed in accordance with the provisions of the Arbitration and Conciliation Act, Cap A18, Laws of the federation of Nigeria 2004 or any amendments or reenactments thereof.
